The switching playbook

Moving your equity records is an afternoon of careful work, not a quarter-long project. This is the whole method, no email gate.

1 · Decide what the source of truth is

Before anything moves, agree internally which artifact is authoritative today: the old platform, the lawyer's ledger, or the spreadsheet. Every discrepancy you find later gets resolved against this source, so pick the one with signatures behind it.

2 · Export everything, not just the table

Export the stakeholder list, every issued security with its terms, the option grants with vesting schedules and start dates, and the documents themselves. The table without the instruments is a summary, not a record.

3 · Import and reconcile

Import stakeholders first, then securities, then grants. Reconcile three numbers against the source before going further: total issued shares per class, the fully diluted total, and each founder's fully diluted percentage. If those three match, the details almost always do; if they do not, stop and find out why.

4 · Attach the paper

Upload the signed instruments and link each to its register entry. This is the step that turns a copied table into an auditable record, and the step most migrations skip.

5 · Cut over cleanly

Choose a date. After it, every new issuance, grant, and signature happens on the new platform only. Freeze the old system read-only rather than deleting it; diligence sometimes wants to see history in situ.

6 · Tell the people who touch the table

Your lawyer, your co-founders, and any investor with information rights should know where the register lives now and have their access set up. A migration nobody was told about produces the two-truths problem all over again.
