The cap table sits in a shared folder. You sent the link to your lawyer, your lawyer sent it to an investor, and now you can't say who holds a copy or who opened it.

Owner, Member and Viewer. A Viewer who tries to edit is stopped by the server, not by a hidden button.

People join your company when you invite them. Seats are unlimited, so nobody shares a login to save on the bill.
Approval policy (Pro).
Require a second member to approve before securities, grants, buy-backs or a priced round land on the cap table.

Your documents
Data room links you control.
Every link carries an expiry. Regenerate or revoke it anytime, and the full link history stays on file. Opens are logged per document.
E-signature audit trail.
Every signed PDF carries an audit-trail page.
A ledger that remembers.
The cap table is append-only. A correction posts a reversing entry, so every change leaves a trace.
