You agreed the terms on a call. Now someone retypes the investor's name, the amount and the cap into a document, and a lawyer bills by the hour to check the typing. One wrong number on page one costs another round of emails and another invoice.
Four steps to a draft
- Enter the company and investor details.
- Enter the investment amount.
- Enter the terms: valuation cap, discount, MFN.
- Review the draft and send it to your counsel.
Each field is typed once and appears wherever the document needs it. The draft is marked as a draft. Your counsel reads it, changes it and approves it.
Check the terms before counsel sees them
Say you type a $250,000 investment, a $5,000,000 cap and no discount. If the SAFE is post-money, the holder converts into $250,000 ÷ $5,000,000 = 0.05 = 5% of the company.
Read that percentage before you send the draft. If 5% is not what you agreed on the call, fix the amount or the cap in the form, and the draft updates everywhere it appears. The SAFE Calculator runs the same sum.
